GENERAL TERMS AND CONDITIONS OF SALE

These general terms and conditions of sale are entered into, on the one hand, by the company ALPHA GROUP, with a share capital of 1,000 euros and registered office at: 274, avenue de Bruxelles – 83500 LA SEYNE SUR MER (France), registered with the Paris Trade and Companies Register under number 829 335 694 [SIRET number: 829 335 694 00040 – Intra-Community VAT number FR 65 829335694], hereinafter referred to as "ALPHA GROUP", and, on the other hand, by any natural or legal person wishing to make a purchase exclusively via the online sales website of the company ALPHA GROUP https://www.prosprayerfrance.com/ hereinafter referred to as "the Buyer"

Article 1: Purpose

These general terms and conditions of sale are intended to define the contractual relationship between ALPHA GROUP and the Buyer and the conditions applicable to any purchase made through the ALPHA GROUP online store https://www.prosprayerfrance.com/, whether the Buyer is a professional or a consumer. The acquisition of a good or service through the said site implies the Buyer's unreserved acceptance of these general terms and conditions of sale.
These terms of sale shall prevail over any other general or specific terms not expressly approved by ALPHA GROUP.
ALPHA GROUP reserves the right to modify its general terms and conditions of sale at any time.

In this case, the applicable conditions will be those in force on the date the order is placed by the Buyer.

Article 2: Characteristics of products and services

The products and services offered for sale are those appearing on the ALPHA GROUP website https://www.prosprayerfrance.com/ These products and services are offered while stocks last. Each product is accompanied by a description drawn up by ALPHA GROUP.
The photographs of the catalogue products are as faithful as possible but cannot guarantee a perfect likeness with the product offered, particularly with regard to colours and dimensions.

Article 3: Product availability

Product offers are valid as long as they are visible on the site https://www.prosprayerfrance.com/, while stocks last.
In the event that a product is unavailable after the Buyer has placed the order, ALPHA GROUP will inform the Buyer by email of the new delivery time, a replacement product, or the cancellation and refund of the order.

Article 4: Price

The prices shown on the site https://www.prosprayerfrance.com/ are prices inclusive of tax in euros, taking into account the VAT applicable on the day of the order; any change in rate may be passed on to the price of the products or services. ALPHA GROUP reserves the right to modify its prices at any time, it being understood, however, that the price in force on the website on the day of the order shall be the only one applicable to the Buyer.
All orders are payable in euros.

Article 5: Geographical area

The online sale of the products and services presented on the site https://www.prosprayerfrance.com/ is reserved exclusively for Buyers residing in mainland France (excluding French overseas departments and territories or Monaco)

Article 6: Order and validation

The Buyer wishing to buy a product or service on the site https://www.prosprayerfrance.com/ must necessarily:

· Have full legal capacity to commit under these general terms and conditions of sale;

· Fill in the identification form on which they will indicate all the requested contact details, or provide their customer number if they have one;

· ALPHA GROUP cannot be held liable for any input errors and the consequences thereof, in particular delivery delays or errors;

· Fill in the online order form providing all the references of the selected products or services;

· Validate their order after checking it;

· Make payment under the conditions provided;

· Confirm their order and payment.

Confirmation of the order entails acceptance of these general terms and conditions of sale, acknowledgement of having full knowledge of them, and waiver of the right to invoke one's own purchasing conditions or other conditions. All the data provided and the recorded confirmation shall constitute proof of the transaction. Confirmation shall constitute signature and acceptance of the operations carried out.
ALPHA GROUP will send confirmation of the recorded order by email.
Unless proven otherwise, the data recorded by ALPHA GROUP constitutes proof of the transaction made between ALPHA GROUP and the Buyer.
ALPHA GROUP reserves the right to cancel or refuse any order from a Buyer with whom there is a dispute relating to the payment of a previous order.

Article 7: Right of withdrawal

The Buyer, being a natural person acting as a non-professional, has a withdrawal period of fourteen days from the date of delivery of their order to return the product(s) to ALPHA GROUP for exchange or refund without penalty, with the exception of return shipping costs, which remain the responsibility of the Buyer.

Any product must be returned in perfect original condition (product complete with its accessories), unused and in its original packaging. Any product that is incomplete, used, damaged, spoiled and/or without its original packaging will not be taken back, exchanged or refunded. Any returned product must be accompanied by a copy of the invoice.
No refund request will be taken into account until the returned products have actually arrived at ALPHA GROUP in their original condition.

Article 8: Payment terms - Transfer of ownership

Payment of the price is due upon ordering.
The products remain the property of ALPHA GROUP until full payment of the price.
Payments are only possible by bank card or via Paypal.
They are made through the secure S.S.L. system, which uses the 3D Secure protocol so that the information transmitted is encrypted by software and no third party can access it during transport over the network.
ALPHA GROUP is obliged to obtain the express consent of the consumer for any additional payment in addition to the price of the main subject of the contract.
The Buyer's account will only be debited for the amount of the products or services sent or downloaded.
At the Buyer's request, a paper invoice showing the VAT will be sent to them.
In accordance with the legislation in force, any late payment, even partial, will automatically result in the application of late-payment penalties due from the day following the payment date shown on the invoice and until full payment of the amount due, and this without prior formal notice.
The rate of these late-payment penalties is equal to the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points.
In accordance with the legislation in force, a recovery indemnity of €40 will be charged by ALPHA GROUP in the event of late payment on each invoice. This indemnity is in addition to the late-payment penalties.

Article 9: Refund terms

Refunds for products under the conditions defined in articles 3, 7, 10 and 12 of these general terms and conditions of sale will be made within 15 days of receipt of the products at ALPHA GROUP.
The refund will be made, at the discretion of ALPHA GROUP, by bank transfer or bank cheque.

Article 10: Deliveries

Orders are processed within 24/48 hours from the date of payment of the price, i.e. the effective date on which the sums due by the Buyer are paid into the account of the company ALPHA GROUP, to which the transport time must be added.
ALPHA GROUP cannot be held liable for the consequences of a delivery delay.
Deliveries are made to the address indicated on the order form, which can only be located within the agreed geographical area.
The risks are borne by the Buyer from receipt of the goods.
In the event of damage to the products during transport, the claim must be sent to the carrier within three days of delivery.
If the parcel is damaged and the Buyer accepts delivery, they must write detailed handwritten reservations on the delivery note, sign it and have the deliverer sign it.
The wording "subject to inspection" has no legal value for any claim against the carrier.
This acceptance entails the Buyer's waiver of any claim, return or exchange on the grounds of a damaged parcel.
In the event that the Buyer refuses the goods due to a damaged parcel, the Buyer must leave the parcel with the deliverer and indicate the condition of the parcel and/or products on the delivery note, sign it and have the deliverer sign it. Upon receipt of the damaged parcel, ALPHA GROUP will send the products to the Buyer again and cover the delivery costs.
Delivery times are given for guidance only; if they exceed thirty days from the order, the sales contract may be terminated and the Buyer refunded.
Delivery is carried out according to weight / volume to the destination, either by EXAPAQ DPD Transport, GEFCO courier transport, La Poste, by ourselves or by counter pick-up at our head office at the Buyer's request.

Article 12: Warranty

All products supplied by ALPHA GROUP benefit from the legal warranty provided for by articles 1641 et seq. of the French Civil Code.
In the event of non-conformity of a product sold, it may be returned to ALPHA GROUP, which will take it back, exchange it or refund it.
All claims, exchange or refund requests must be made by email, fax or telephone as indicated in article 11 within 7 days of delivery.
The cost of returning the product will be refunded by ALPHA GROUP to the buyer on the basis of the postage rate in force on the date of return.

Article 13: Liability

The photos and illustrations appearing on the site https://www.prosprayerfrance.com/ are non-contractual.
ALPHA GROUP, in the online sales process, is bound only by an obligation of means; its liability cannot be engaged for any damage resulting from the use of the Internet network, such as loss of data, intrusion, virus, service interruption, or other involuntary problems.
ALPHA GROUP is not responsible for the information contained on the websites accessible via hyperlinks appearing on the site https://www.prosprayerfrance.com/

Article 14: Intellectual property

All the elements appearing on the site https://www.prosprayerfrance.com/ of ALPHA GROUP are and remain the exclusive intellectual property of ALPHA GROUP.
No one is authorised to reproduce, exploit, redistribute, or use in any way whatsoever, even partially, elements of the site, whether software, visual or audio. Any simple or hypertext link is strictly prohibited without the express written agreement of ALPHA GROUP.

Article 15: Personal data

In accordance with the French Data Protection Act of 6 January 1978, the personal information relating to the Buyer may be subject to automated processing.
ALPHA GROUP reserves the right to collect information about the Buyer, including by using cookies, and to pass on the collected information to commercial partners.
The Buyer may object to the disclosure of their contact details by notifying ALPHA GROUP by email or in writing at the address given in article 11 (address – Contacts).
Likewise, the Buyer and users have a right to access and rectify the data concerning them, in accordance with the law of 6 January 1978. The automated processing of information, including the management of the email addresses of users of the site https://www.prosprayerfrance.com/ was declared to the CNIL on 9 September 2014, registered under no. 1792685, no. 1792690, no. 1792691, no. 1792698.

Article 16: Archiving - Proof

ALPHA GROUP will archive the order forms and invoices on a reliable and durable medium constituting a faithful copy in accordance with the provisions of article 134 of the French Civil Code. The computerised records of ALPHA GROUP will be considered by the parties as proof of the communications, orders, payments and transactions between the parties.

Article 17: Jurisdiction clause – Applicable law and language

These general terms and conditions of online sale are subject to French law.
The language of these general terms and conditions of sale is French.
In the event of a dispute, jurisdiction is granted to the competent courts of Paris, notwithstanding a plurality of defendants or a warranty claim.
